COPYRIGHT & INTELLECTUAL PROPERTY
Copyright and ownership of website content is divided into three areas:
- Client-Provided Content
All text, photography, images, and other content provided by the client remains the client’s copyright. Where content is sourced from third parties, image libraries, or individuals/companies, the client is solely responsible for ensuring compliance with all applicable copyright laws. The client accepts full liability for any infringement arising from third-party content they supply.
- Design Work
Logos: Any logo created by UbiqEquity and paid for in full becomes the client’s copyright. Please note that providing a logo in alternative formats may incur an additional charge.
Images & Photography: Where UbiqEquity sources images from a library or third party, the licence is purchased under that provider’s terms of use. Clients are responsible for ensuring their website images comply with the applicable terms and conditions of any image library or third-party provider used.
Design Templates: Design work produced as part of a UbiqEquity technology application (including Data Capture tools and Directories) remains the intellectual property of UbiqEquity. All source design files are the property of UbiqEquity and may not be used for resale or any other purpose without prior written consent.
- Source Code & Technology
Copyright and all intellectual property rights in UbiqEquity’s content management systems and technology applications — including licensed products — belong exclusively to UbiqEquity. This includes Hummingbird, Volunteer Makers, Community Makers, Local Care for Local People, and One Front Door for Care.
For bespoke applications (not built on Hummingbird CMS), intellectual property rights may transfer to the client upon receipt of final payment and written sign-off by both parties, subject to prior written agreement.
Development work is provided solely for the purpose for which it was commissioned. Clients may not sell, sublicense, modify, repurpose, or use any development work on other sites without the express prior written permission of UbiqEquity.
UbiqEquity’s source code is built and tested for its own hosting environment. UbiqEquity accepts no responsibility for technical issues arising from deploying source code in third-party hosting environments.
Non-payment: If a client fails to pay for services, UbiqEquity reserves the right to retain its technology products and withdraw services, including hosting and domain management.
White labelling: White labelling and third-party resale of any UbiqEquity technology product is strictly prohibited.
DATA OWNERSHIP
For clients using Volunteer Makers, Community Makers, Hummingbird, Local Care for Local People, One Front Door for Care, or the Training Provider Directory Data Capture Tool & Directory: all data belongs to the client. Clients are solely responsible for backing up their data. UbiqEquity accepts no liability for loss of volunteer, member, or any other data held within these platforms.
DATA PROTECTION & GDPR
UbiqEquity Ltd is registered with the Information Commissioner’s Office (ICO) and is committed to handling all personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Where UbiqEquity processes personal data on behalf of a client in the course of providing its services, it does so only on the client’s instructions and for the purposes of delivering those services.
Clients are responsible for ensuring that their own use of any website, platform, or application built or hosted by UbiqEquity complies with all applicable data protection legislation. This includes, but is not limited to, maintaining an up-to-date privacy policy, obtaining appropriate consents from end users, and ensuring lawful grounds exist for any data processing carried out via their platform. UbiqEquity accepts no liability for a client’s failure to meet their own data protection obligations.
DOMAIN OWNERSHIP
Unless otherwise agreed in writing, domain names registered as part of a project are owned by the client.
Where UbiqEquity provides hosting management services, domain renewal and management will be handled by UbiqEquity as part of that service. Where a client manages their own domain independently, they are solely responsible for ensuring the domain is renewed on time. UbiqEquity accepts no liability for loss of a domain name due to a client’s failure to renew or manage their domain in a timely manner.
Where a domain is registered as part of a UbiqEquity technology product or platform, or where an alternative arrangement has been agreed in writing between both parties, ownership and management of the domain will be as specified in that agreement or will remain with UbiqEquity.
UbiqEquity accepts no liability for loss of a domain name due to a client’s failure to renew or manage their domain in a timely manner.
THIRD-PARTY TOOLS & SERVICES
UbiqEquity may use or integrate third-party tools, plugins, payment gateways, APIs, or services in the delivery of its work. While UbiqEquity will endeavour to select reputable third-party providers, it accepts no liability for any failure, interruption, data loss, security breach, or change in terms arising from the use of third-party tools or services.
Clients are advised to review the terms and conditions of any third-party services used within their website or platform. Any costs arising from third-party licensing, subscription changes, or usage fees are the responsibility of the client unless explicitly included in a written agreement with UbiqEquity.
WARRANTY
Completed work is covered by a warranty period of 1 to 4 weeks following delivery, subject to project requirements. Within this period, corrective updates (logic errors and coding anomalies) will be carried out free of charge. Outside the warranty period, UbiqEquity reserves the right to charge for corrective and adaptive updates not identified during the warranty period. Clients are encouraged to actively monitor and test their website during the initial warranty phase.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, UbiqEquity’s total liability to the client — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total fees paid by the client to UbiqEquity in the twelve months preceding the event giving rise to the claim.
UbiqEquity shall not be liable for any indirect, consequential, special, or incidental loss or damage, including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or reputational damage, even if advised of the possibility of such losses.
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
VARIATION IN SCOPE & COSTS
The client acknowledges that as work progresses, circumstances beyond UbiqEquity’s control may require changes to the project scope or costs. Any such variation will be notified in writing before work on the affected area begins. Work will only proceed once the client has confirmed agreement in writing to any additional costs.
WEBSITE POPULATION
Unless a brochure/static website is explicitly agreed in writing as part of the project, it is the client’s responsibility to fully populate their website content management system or ecommerce platform.
HOSTING, SUPPORT & RETAINER CONTRACTS
Hosting, support, and retainer contracts are charged annually. Where a payment plan has been agreed, the annual fee may be spread across scheduled instalments; however, the full annual amount remains due for the contract period.
If a client cancels their hosting, support, or retainer contract before the end of the current contract period, the full outstanding balance for that period will become immediately payable.
CANCELLATION
If a project is cancelled after acceptance — for reasons outside UbiqEquity’s control and before completion — the client will be charged for all work completed to that point.
GOVERNING LAW
These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
